Getting Started
This section covers the initial steps of our engagement, from project acceptance to the commencement of work. Understanding these first steps ensures a smooth project kickoff.
Work will commence upon the client’s acceptance of the online quotation and payment of any required deposit. This action forms a binding contract and confirms acceptance of these Terms and Conditions.
Fees & Payment
Here you’ll find everything related to the financial aspects of your project, including how fees are structured, payment schedules, and policies for late payments.
- Design fees are outlined in the written quotation.
- Full payment is required before the final artwork is sent to print or released.
- Invoices are issued after the client signs off on the artwork.
- Accounts unpaid for 30 days will incur a contractual charge of 2% per month. More Visual Ltd. also reserves the right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- Acceptable payment methods are Bank Transfer (BACS) and PayPal. Please note that any processing fees associated with PayPal payments are the responsibility of the client. Cheques are not accepted.
Client Responsibilities
Successful collaboration relies on clarity of roles. This section outlines your key responsibilities, such as providing materials and approvals, which help us deliver the best possible result.
- The client must ensure they have the necessary copyright and trademark permissions for any text, images, or other data they provide.
- The client agrees to indemnify More Visual Ltd. against any claims arising from a failure to obtain proper permissions.
- Text and images should be supplied in the specified electronic formats (.txt, .doc, or as prescribed for images). The client is responsible for the quality of all supplied images and text. Poor quality source materials may result in a final product of lower quality than desired, for which More Visual Ltd. cannot be held responsible.
- The client is responsible for carefully proofreading all materials. Written approval (sign-off) of the final design is required before publication or printing.
- More Visual Ltd. is not responsible for errors, such as typos or incorrect information, that are discovered after the client has given their final approval.
Project Process
From alterations and timelines to project completion and cancellation, this section details the workflow and procedures that govern the project lifecycle.
- Changes requested by the client that go beyond the scope of the original estimate will be charged separately.
- For web design projects, one set of minor textual and placement changes is included at no extra cost if requested within 14 days of the review period starting.
- A project is considered complete upon receiving the client’s final sign-off.
- Any project timelines provided by More Visual Ltd. are estimates.
- If a project is delayed for more than 30 days by the client, or if it extends beyond three months from the commencement date due to client inaction or excessive revisions, More Visual Ltd. reserves the right to issue an interim invoice for all work completed to date.
- Cancellations must be confirmed in writing.
- The client will be invoiced for all work completed up to the point of cancellation, in addition to any non-refundable deposit.
Legal & Copyright
This section details the important legal framework of our agreement, covering copyright, data protection, and liability. These terms protect both you and More Visual Ltd.
- In accordance with the Copyright, Designs and Patents Act 1988, More Visual Ltd. retains copyright over all concepts, proofs, and illustrations until the final invoice is fully paid.
- If multiple design concepts are presented, only the chosen one is included in the contract. The rest remain the property of More Visual Ltd. unless a written agreement states otherwise.
- Upon full payment for a logo design, the full copyright for the logo is transferred to the client. For other materials, the client may request permission for additional uses, which may incur a fee.
- Requests for layered design files (e.g., .psd, .ai) will incur an additional fee, as these are considered part of the designer’s toolkit.
More Visual Ltd. will handle all client data in compliance with the Data Protection Act 2018 and the UK GDPR.
The laws of England and Wales shall govern this agreement, and the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
General Clauses
Finally, this area contains general but important clauses covering disclaimers, design credits, confidentiality, and other conditions that ensure a clear and professional working relationship.
- More Visual Ltd. is not responsible for any loss or damage resulting from the products or services it supplies. Any claim against the company is limited to the fee paid by the client. The client acknowledges that there can be variations in colour between on-screen proofs and the final printed product. More Visual Ltd. will not be held liable for such variations.
- The company reserves the right to refuse to include any material it deems immoral, offensive, or illegal.
Both parties agree to keep confidential any information shared during the project that is not public knowledge.
- The client agrees to allow More Visual Ltd. to place a small credit and a link to its website on the final product (e.g., at the bottom of a webpage or on printed material).
- More Visual Ltd. may use the designs in its portfolio and for promotional purposes.
We do use generative AI in our design / artwork unless we are told not to. Please let us know if you do not want any AI used when we create our designs.
Neither party shall be liable for any delay or failure to perform its obligations if the delay or failure results from events or circumstances outside its reasonable control (e.g., acts of God, strikes, pandemics).
This document forms the entire agreement between the client and More Visual Ltd. It supersedes all prior discussions, negotiations, and agreements.
